Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
As previously disclosed, on December 6, 2017 Synchronoss Technologies, Inc. (the Company) received a notification of delisting from the Nasdaq Global Select Market and requested a hearing from the Nasdaq Hearings Panel (the Panel).
At the hearing before the Panel on January 25, 2018, the Company requested from Nasdaq an extension until May 10, 2018 to regain compliance with Nasdaqs continued listing requirements with respect to its delayed filing of with the Securities and Exchange Commission (the SEC) of Quarterly Reports on Form 10-Q for the quarterly periods ended March 31, 2017, June 30, 2017 and September 30, 2017. On February 6, 2018, the Company received a notification letter from a Hearings Advisor from the Nasdaq Office of General Counsel informing the Company that the Panel granted the Companys request for an extension until May 10, 2018 to become current with its filings with the SEC. Additionally, the extension is subject to the Company providing the Panel with periodic updates regarding its ongoing restatement of its financial statements and providing the Panel with an update issued to investors on or before March 31, 2018. The Panel granted the Company the maximum possible extension until the expiration of the Panels discretion to allow continued listing while the Company remains out of compliance with Nasdaqs continued listing requirements. The Panel reserved the right to reconsider the terms of the extension and the Nasdaq Listing and Hearing Review Council may determine to review the Panels decision.

Synchronoss Receives Positive Nasdaq Panel Decision
Company to Host Business Update Call for Investors in Mid-to-Late March
Bridgewater, N.J. February 8, 2018 Synchronoss Technologies, Inc. (NASDAQ: SNCR), a global leader and innovator in cloud, messaging and digital products, today announced that it received a positive decision from the Nasdaq Hearings Panel, which granted the Company an extension to regain compliance with Nasdaqs listing requirements.
Under the extension, the Companys common stock will remain listed on the Nasdaq Stock Market, subject to the Company becoming current with its SEC filings on or before May 10, 2018. The extension is also subject to the Company providing the Panel with periodic updates regarding its ongoing restatement of its financial statements and an investor update on or before March 31, 2018.
The Panels positive decision follows an in-person hearing before the Panel at which the Company shared its progress to date and its plan to become current in its SEC filings on or before May 10, 2018. The Company also shared with the Panel its intention to host a business update call with the investment community during mid-to-late March, 2018, during which the Company will provide investors with a qualitative update on the business and progress against the Companys growth initiatives since it appointed a new CEO, Glenn Lurie.
The Company will issue a separate release announcing the specific date, time and dial-in instructions for the business update call.
